INTRODUCTION 1.1 COMPANY BACKGROUND BASS was established as a separate business unit in 1998 and has been a part of and fully owned (100%) by Barber International Ltd. Barber International Ltd. is again fully owned (100%) by the Norwegian shipping group Wilh.Wilhelmsen ASA. Wilh. Wilhelmsen ASA was established in Norway in 1861. BASS’ entry into marine software has its beginning in 1998 with the establishment of the office in Kuala Lumpur, Malaysia. Its products originate from development of ship management software since early 1990s and have been undergone with the latest changes based on the millennium demands. BASS Ltd. is a holding company, whilst BASS AS and BASS Sdn.Bhd. are the operating companies as follows: BASS Sdn.Bhd. (Kuala Lumpur) -Consulting services -Project management -Product development -R&D -Customer Support -System maintenance -Sales and marketing BASS AS (Oslo) -Consulting services -Project management -Customer Support -Sales and marketing Today, BASS serves more than 1500 users world-wide with ship and shore installations in more than 30 countries. Our software is developed for large size fleet operations but with an increasing number of small and medium sized operators in the user group. We are continuously developing our existing software and at the same time expanding the product portfolio. Together with our software packages, we also offer training, consulting, on-going support, annual upgrades and maintenance of the software. 1.2 MISSION AND VISION VISSION BASS aims to be one of the leading software suppliers in the shipping industry by providing a diverse range of high quality, innovative and intelligent software solutions. MISSION BASS’ mission is to Streamline maritime operations – by providing state-of-the-art “tools” enabling maritime companies to improve effectiveness and efficiency in their own business processes and their interaction with external parties in the maritime industry. 1.3 ORGANIZATION BASS Ltd. is mainly operating out of its subsidiaries in Kuala Lumpur, Malaysia and Oslo, Norway. While the product development and maintenance /support is currently concentrated in Kuala Lumpur, Sales/Marketing and Consulting operates out of Oslo and Kuala Lumpur as well as via our agent in Japan, Korea, Singapore and United Arab Emirates. 1.4 PRODUCT PORTFOLIO BASS offers the latest management and information tools for efficient ship operation - a powerful and comprehensive package of software products and services to perfectly suit the shipping industry. BASS’ product portfolio covers a wide range of software applications for the maritime industry. These applications come with a proven replication ensuring reliable integration between shipboard and shore based operations. The product portfolio comprise of: - Accounting - Purchasing - HR & Crew management - Payroll management - Safety and Quality (cum workflow) management - Accident/ Incident Reporting and Improvement - Planned maintenance 1.5 BASS SUITE OF INTEGRATED SOLUTIONS BASS CrewNet BASS CrewNet is a scalable web-centric crew management solution. Designed using multi-tier architecture and available in both desktop and web versions, BASS CrewNet ensures rapid and complete exchange of crew information to meet regulatory requirements, improves human resources allotment and enhances crew management routines and procedures. With seamless information sharing throughout an organisation, BASS CrewNet puts a world of manning agents at your desktop and allows you to manage a global work force. BASS PayNet BASS PayNet is a comprehensive, web-centric crew payroll system. The system streamlines payroll management from the single crewman and up to shore office administration, with value-added bookkeeping functions and facilitated customization. Divided into office and vessel versions, the software runs on multi-tier architecture, which enables centralized databases and browser versions. BASS EasyInfo BASS EasyInfo is a process/activity-driven vessel operations and information management system. Designed using multi-tier architecture, it enables a fixed amount of human resources to manage more vessels by working smarter with intelligent applications and communication. BASS EasyInfo is a complete workflow management system (manages all processes between ship and office). Applications include pre-departure checks, ship staffs' safety inspections, testing of stand-by equipment, among many others. SAFIR 4.0 SAFIR is a web-centric solution designed in co-operation with a number of major shipowners and maritime authorities to improve safety and quality routines, increase operational oversight and reduce the risk of accidents. Developed to help shipowners meet the requirements of Section 9 of the ISM Code and ISO 9000, SAFIR is a powerful tool to improve safety and quality management, identify why and how incidents occur on board and learn from them. In addition this solution runs on multi-tier architecture, which enables centralized databases and browser versions. Star Information and Planning System Star IPS-Planned Maintenance System is an integrated onboard solution for inventory control and maintenance. It is an optimal solution for planned maintenance, inventory control, fleet management and work planning. This system automatically keeps track of spare parts, work instructions, consumables etc across the fleet. BASS Accounting BASS Accounting is an advanced Windows-based accounting system, developed with the shipping industry in mind whilst allowing for corporate reporting. The system manages multi-object, multiple-company and multiple-currency transactions. BASS Accounting provides the ability to centrally track financial accounting data, currencies, vessel's cost in an environment where transactions between various companies is a must. The system contains all conceivable reports from basic status of accounts to the most advanced and complex management reports. BASS Purchasing BASS Purchasing is an advanced Windows-based purchasing system developed especially for the shipping industry. Users can gain access to worthy details about suppliers, prices, vouchers, invoices, purchase orders etc. BASS Purchasing caters for the whole procurement process including producing/receiving requisitions, creating purchase orders, follow up, invoicing and budget follow-ups. BASS Purchasing comes complete with an advanced budgeting module. It allows a user to drill down to the details of any expense item. Comparisons can be made in the system online, by reports or exporting to excel for further modifications and presentation. 1.6 BASS PARTNERS BASS has partnership agreements with Star Information Systems AS and Gard Services AS. BASS will work closely with these two companies for joint marketing, sales, consulting, support and product development. Meanwhile, BASS has signed up two sales agents in Japan- Aall and Company Ltd. and Frontier International Japan and one agent in Korea- GBO. On the technology front, BASS is a Microsoft Certified Solution Partner and the company has also a partnership agreement with Oracle. For training services – BASS has a partnership with Indian Maritime Training Center in Mumbai, India, for training of seafarers in the use and operation of BASS’ shipboard applications. BASS and Gard Services Gard Services (P&I and Marine Insurance) and BASS have agreed to co-operate in marketing, sales and further development of the safety management and accident reporting system, SAFIR. BASS has the ownership of SAFIR, which is already in use by more than 50 ship owners and ship managers to assist in their loss prevention activities on-board and on-shore. BASS and Star Information Systems BASS and Star Information Systems (SIS) have formed a strategic alliance for world-wide co-operation within sales, marketing, support and system development. While BASS owns 34% of SIS, both companies will continue to operate as independent companies. The alliance will form a new strong group in the marine software segment. Under this alliance, BASS have added the IPS Fleet Management System to its current product portfolio. BASS, Aall & Co Limited & Frontier International Japan BASS has signed a sales agency agreement with Aall & Company Limited and Frontier International Japan to market BASS' integrated solutions throughout Japan. Aall and Company Limited has a long history and strong presence in the Japanese market. The company provides high-quality services in the various fields of marine business. Frontier International Japan is a travel agent and a crew agent for the Japanese shipping market. But the company also sells hardware and software and has offices outspread all over Japan. Both sales agents will meet the growing Japanese demands for full integration and visibility with BASS’ web-centric solutions. Aall & Company Limited and Frontier International Japan will market the full suite of BASS’ Integrated Maritime Solution providing customers with a platform to help them seamlessly integrate processes and enlighten the sharing of information within their businesses to collaborate with their customers and suppliers over the Internet. BASS and Vitratech BASS appoints Vitratech as its exclusive sales agent in Vietnamese market. BASS shall supply and support Vitratech on all BASS products with technical specifications, documents, certificates, marketing materials, presentations, and services. BASS and GBO Technologies GBO Technologies and BASS will provide customers business processes software solutions that deliver improved return on investment (ROI) and decreased total cost of ownership (TCO) from the very beginning stages of a new shipbuilding. Working closely with BASS, GBO Technologies will not only extend its vast experience in shipbuilding technology but also offer integrated maritime solutions to Korean-based ship owners/managers and all shipyards, whose owners are from all over the world. BASS and Oracle BASS has a Certified Solution Partnership agreement with Oracle. This means that BASS can offer Oracle’s database services and licensing at competitive terms. BASS and Microsoft BASS is a Microsoft Certified Partner, which means BASS has access to a variety of exclusive resources and early product information. Resources include priority access to a support team of Microsoft certified systems engineers, non-disclosure evaluation of new products and technologies, as well as planning tools and events to keep up to speed on the latest Microsoft product developments and future direction. 1.7 BASS TECHNOLOGY BASS combines advanced technology with experience in international maritime operations and strive to ensure that the technological supremacy of their products and services creates a real competitive advantage for their customers. Multi-tier Architecture The foundation for any web-enabled software, multi-tier architecture is the first and foremost specification demanded by software procurement specialists. This framework enables Internet access, e-business, greater quality control, easier maintenance and just about all of the features listed below, among others. BASS is one of the only maritime software suppliers that uses multi-tier architecture. Web-centricity Web-centricity implies full, secure access to your backbone ERP applications and communication online. This allows anyone, anywhere – whether an employee or business partner – to access, enter and retrieve filtered information. Modular Integration Thanks to multi-tier architecture, one source code and centralised databases, BASSware components are perfect modules. Components can be added and removed without adversely affecting the system, and all components communicate with one another, sharing information, producing operational reports, automatically updating and accelerating business processes. Centralised Database The more links in the communication chain, the greater and more dramatic the possibilities for miscommunication. Centralized databases, accessible on the web, give decision-makers and technicians first-hand access to vital, accurate and real-time information sharing. This reduces the total cost of ownership, database and maintenance resources. 1.8 BASS CUSTOMERS BASS has to date 115 worldwide clients using its software products on board vessels and in offices – in more than 30 countries all over the world. Among which includes Taiyo Nippon Kisen Co., NYK Pte Ltd, Kristian Gerhad Jebsen Skipsrederi, Hoegh Fleet Services, Norwegian Cruise Lines and many more. 2. CONSULTATION AND PROFESSIONAL SERVICES IMPLEMENTATION 2.1 CONSULTING AND PROFESSIONAL SERVICES Consultation services are very important during the initial period of system implementations and BASS is assisting and guiding the customers in making the best use of all the sophisticated functionality available in the systems. BASS has worked with various shipping establishments and helped them to find the most efficient way of carrying out their operations. All implementation projects are carried out in close co-operation with our customers and according to their requirements. BASS will assign a Project Manager who will work closely with customer’s project teams to ensure efficient co-ordination of activities and to provide advice, assistance and guidance to customer. It would be necessary that the customer also appoint their Project Manager(s) to co-ordinate tasks/ activities within themselves. 2.2 IMPLEMENTATION In close dialogue with customer’s Project Manager(s), BASS’ Project Manager will work out a comprehensive project plan for the implementation process. Each party’s responsibility and tasks will be outlined and agreed along with timeline of the various activities. 2.3 TRAINING Our consultants will train end users, preferably at their own site. Training can be conducted individually or in a group. The length of the courses depends on the level of computer knowledge, scope and responsibility of personnel. All course activities will need to be closely examined and planned in co-operation with the customer to ensure that the training will be useful and cost efficient. Most of our training sessions will be carried out at PC workstations under the supervision of our consultants. In addition to the ‘real’ database, a test database can be set up. New users can explore and learn about the system without the fear of changing the settings of the existing operational database. The courses can be arranged at any location based on mutual planning of practicalities. Preferably, data from the fleet should be used for the training. Alternatively, we can provide a sample database. The competence of end-users may be supplemented by Computer Based Training (CBT). Company specific CD’s may also be developed on request. A more detailed training schedule would need to be established in discussion between BASS’ Project Manager and Customer’s Project Manager. 3. MAINTENANCE AND TECHNICAL SUPPORT 3.1 OVERVIEW BASS' Customer Service Center is available 24 hours a day. Support is available in all forms of communication. The customer can communicate all requests/inquiries/faults through conventional mail, web, fax, telex, e-mail, by phone or personal visit. BASS will provide the customer with standardized forms to make it easy to report or comment. Another viable support that BASS can offer is Tele-support using PC anywhere. With this set-up, the users can log in for assistance as well as guidance for maintenance when required. The aim of the Maintenance and Technical Support is to provide operational guidelines and improving the Software’s features and robustness, enhancements and add new features in new releases. 3.2 TECHNICAL SUPPORT WORKFLOW The Super User normally forwards a technical assistance request to BASS’s Customer Service Center (CSC) via web, e-mail, fax, telex, or phone. The CSC’s personnel will assign the request and notify the respective BASS’s technical personnel. The BASS’s technical personnel will then contact the Super User to provide necessary technical support services. The reported request will be given an Event Number by the CSC’s personnel for identification purposes and also as a reference to be used by both parties during the support period. The reported request will not be closed until the solution is delivered to the customer. BASS customers can at any given point, view the status of their events by using the BASS web. 3.3 PERFORMANCE REPORT Customers willl be informed of the required processing time on a continuous basis depending on the nature of request and shall be kept informed on the status of the outstanding items. BASS also delivers a performance report of Maintenance and Technical Support services to the customers on a monthly basis.
