Atlântico Sul Shipyard, established in November of 2005 through a partnership between the groups Camargo Corrêa, Queiroz Galvão, Samsung Heavy Industries (SHI) from South Korea, and PJMR, is the biggest and most modern naval and offshore construction and repair shipyard in the Southern hemisphere. This undertaking is considered to be a landmark in the reactivation of the shipbuilding industry of Brazil, resulting from an investment of R$ 1.4 billion, with a built-in processing capacity of the order of 160 thousand tons of steel per year. Our company manufactures all types of carrier vessels of up to 500 thousand deadweight tons (TDW), as well as offshore platforms of the semi-submersible type, FPSO (Floating Production, Storage, and Off-loading), TLP (Tension-Leg Platforms) and SPAR, among others. Our immediate predecessor, McMoRan Oil & Gas Co., commenced operations in May 1994 following the distribution of all of its common stock to the stockholders of Freeport-McMoRan Inc., its former parent company. The purpose of that transaction was to allow McMoRan Oil & Gas to rebuild, with essentially the same management and exploration team, the oil and gas exploration business previously conducted by Freeport-McMoRan Inc. Freeport-McMoRan Inc. and its predecessors had engaged in oil and gas exploration, development and production activities since the early 1970s, and during the 1980s it was among the most active drillers in the Gulf of Mexico . As part of an asset restructuring program to raise new capital to exploit other significant business opportunities (including the development of a world class copper and gold deposit in Indonesia discovered in 1988), Freeport-McMoRan Inc. sold numerous assets in various transactions during the late 1980s and early 1990s. These asset sales included the vast majority of its producing oil and gas properties. Sales proceeds from these properties totaled approximately $1.3 billion. As a result, McMoRan Oil & Gas commenced operations in 1994 with an extensive geological and geophysical data base, as well as extensive technical and operational expertise, but with only a small group of exploration prospects and limited financial resources. Following its separation from Freeport-McMoRan Inc., McMoRan Oil & Gas pursued a business plan of exploring for and producing oil and gas, primarily in the Gulf of Mexico and onshore in the Gulf Coast area. We were created on November 17, 1998 when McMoRan Oil & Gas and Freeport-McMoRan Sulphur Inc. combined their operations. As a result, McMoRan Oil & Gas LLC and Freeport-McMoRan Sulphur LLC (Freeport Sulphur), the successors to those companies, became our wholly owned subsidiaries. A principal purpose of the combination was to use cash flow from Freeport Sulphur as a source of funding for the expansion of our oil and gas exploration and development program. The combination of McMoRan Oil & Gas and Freeport Sulphur was treated for accounting purposes as a purchase, with McMoRan Oil & Gas as the acquiring entity. As a result, our financial information for periods prior to the combination reflect only the historical operations of McMoRan Oil & Gas. The operations of Freeport Sulphur are included on and after November 17, 1998 . In August 2000, we announced the closure of our sulphur mining operations at Main Pass and our plans to sell our sulphur transportation and terminaling assets. In March 2002, we entered into agreements from the dismantlement and removal of our sulphur platforms at Main Pass and Caminada. In June 2002, we sold substantially all of our sulphur transportation and terminaling assets.

(Louisiana Offshore Oil Port) was organized in 1972 as a Delaware corporation and converted to a limited liability company in 1996. Ashland Inc., Marathon Ashland Pipe Line LLC, Murphy Oil Corporation, Shell Oil Company, and Texaco Inc. are LOOP's owners. The port facility is located in the Gulf of Mexico, eighteen miles south of Grand Isle, Louisiana, in 110 feet of water. LOOP is the only port in the U.S. capable of offloading deep draft tankers known as Ultra Large Crude Carriers (ULCC) and Very Large Crude Carriers (VLCC). Along with offloading crude from VLCC’s, LOOP also offloads smaller tankers. The port consists of three single-point mooring buoys used for the offloading of crude tankers and a marine terminal consisting of a two-level pumping platform and a three-level control platform. The onshore oil storage facility, twenty-five miles inland (the “Clovelly facility”), is connected to the port complex by a 48-inch diameter pipeline. It provides interim storage for crude oil before it is delivered via connecting pipelines to refineries on the Gulf Coast and in the Midwest. The oil is stored in eight underground caverns leached out of a naturally occurring salt dome. The caverns are capable of storing approximately 48 million barrels of crude oil (a barrel of oil is equal to 42 U.S. gallons). In 1996, one cavern was dedicated to the MARS stream coming in from the deepwater Gulf of Mexico. The MARS crude oil system uses the same distribution system used by the foreign barrels. Four pipelines connect the onshore storage facility to refineries in Louisiana and along the Gulf Coast. LOOP also operates the 53-mile, 48-inch LOCAP pipeline that connects LOOP to CAPLINE at St. James, Louisiana. CAPLINE is a 40-inch pipeline that transports crude oil to several Midwest refineries. LOOP is connected to over 50 percent of the U.S. refinery capacity and has offloaded over 6 billion barrels of foreign crude oil since it's inception.
